Terms and conditions applicable to Google Pay
A. These terms and conditions for availing Google Pay, as amended, modified, updated or restated from time to time, govern the availment by the Merchant of the Google Pay services made available by PayU (“Google Pay T&Cs”). These Google Pay T&Cs may be amended, modified, updated or restated from time to time by PayU and the same shall be applicable on the Merchant immediately upon such amendment, modification, updation or restatement. The Merchant shall be responsible for periodically referring to these Google Pay T&Cs as amended, modified, updated or restated from time to time and to keep itself informed about these.
B. These Google Pay T&Cs constitute an integral part of the service agreement (or the master service agreement) and subsequent addendums (if any) entered into between PayU and the Merchant in connection with the provision of, amongst others, online payments aggregation solutions and services executed between PayU and the Merchant (“Service Agreement“) pursuant to which PayU has been providing or shall provide aggregate online payment gateway solutions and services to the Merchant.
C. The Merchant shall ensure that it is in compliance with (i) Google Privacy Policy available on https://www.google.com/intl/ALL/policies/privacy/index.html (ii) Tez Brand Guidelines available on https://support.google.com/tez/business/answer/7530448?p=tez_logo_guidelines&visit_id=0-636487713259263309-1916511869&rd=1 and prohibited products and services under Tez for Business Program Policies available on https://tez.google.com/business/policy/. The Merchant indemnifies and shall at all times indemnify PayU for breach of this clause, in accordance with the terms and conditions of the Service Agreement.
D. The Merchant acknowledges and agrees that Google will have the right to make public announcements or press releases about the enablement of Google Pay for the Merchant and utilizing of Google Platform services and Google may enter into license agreement or marketing release with the Merchant for the purposes of utilizing the Merchant’s brand features (including Merchant’s logos) to make any public announcement or press release about enablement of Google Pay.
E. The Merchant acknowledges and agrees that PayU reserves the right to suspend the Google Pay payment mechanism at any time, if instructed by Google. However, in such an event, PayU shall on a best effort basis endeavor to provide the Merchant a prior notice of suspension.
F. Capitalized terms that are used in these Google Pay T&Cs and are not defined shall have the same meanings ascribed to them under the Service Agreement.
