Terms and conditions applicable to QR Code
A. These terms and conditions govern the availment by the Merchant of the QR Code services made available by PayU (“QR T&Cs”). These QR T&Cs may be amended, modified, updated or restated from time to time by PayU and the same shall be applicable on the Merchant immediately upon such amendment, modification, updation or restatement. The Merchant shall be responsible to periodically refer to these QR T&Cs as amended, modified, updated or restated from time to time and to keep itself informed about these.
B. These QR T&Cs constitute an integral part of the service agreement (or the master service agreement) and subsequent addendums (if any) entered into between PayU and the Merchant in connection with the provision of, amongst others, online payments aggregation solutions and services executed between PayU and the Merchant (“Service Agreement“) pursuant to which PayU has been providing or shall provide aggregate online payment gateway solutions and services to the Merchant.
1.1 For the purposes of these QR T&Cs, unless the context requires otherwise, the following terms when capitalized shall have the meanings ascribed to such terms below. Any other capitalized terms that are used in these QR T&Cs and are not defined shall have the same meanings ascribed to them under the Service Agreement, as the case may be:
a)“QR Code” means a machine-readable code embedded with some information, provided by PayU to the Merchant, in order to enable the Merchant to collect payment from its Customers.
b)“Payment Apps” means third party payment applications through which the Customer makes the payment to the Merchant.
1.2 The Merchant irrevocably and unconditionally acknowledges and accepts the following terms and conditions:
a)The Merchant understands and acknowledges that in order to enable Customers to make payment, the Merchant is required to display the QR Code provided by PayU and to ensure that the Customer scans the correct QR Code provided by PayU.
b) The Merchant understands and acknowledges that the QR Code provided by PayU may be static or dynamic. Where a static QR Code is provided by PayU, the Merchant is required to ensure that the Customer must enter the exact amount to be payable by the Customer to the Merchant for the purchase of Products.
c) The Merchant understands and acknowledges that the Customer using the QR Code can make payments through UPI or Valid Cards by scanning the QR Code through any of the Payment Apps available with the Customer.
d) The Merchant understands and acknowledges that once the Customer completes the Transaction on the Payments App(s), the Merchant shall be solely responsible for verifying the status of the Transaction on the Merchant Dashboard and shall initiate delivery of the Product to the Customer only when the Merchant receives a confirmation of ‘successful Transaction’ from PayU. In the event the Merchant delivers the Product without such confirmation, the Merchant shall be solely liable for the consequences arising therefrom.
e) The Merchant understands and acknowledges that the QR Code provided by PayU to the Merchant may carry logos of various Payment App(s) providers and the sole purpose of displaying such logos is to inform the Customers that they can make the payment by scanning the QR Code through any of such Payment Apps. By displaying the logos, both the Merchant and PayU confirm that such logos are the intellectual property of the third-party Payment App(s) providers and neither the Merchant nor PayU can claim any right, title, interest in such logos or any partnership with any of the Payment App(s) providers.
